Terms of Service

1. Acceptance of Terms

By accessing or using the VEMO FuelIQ platform at vemofuel.com ("Service"), you agree to these Terms of Service ("Terms") on behalf of yourself and your organisation. If you do not agree, do not use the Service.

These Terms form a binding legal agreement between you ("Customer") and VEMO FuelIQ ("Company", "we", "us").

2. Service Description

VEMO FuelIQ is a Software-as-a-Service (SaaS) maritime compliance platform that provides:

• Voyage compliance calculations (EU ETS, FuelEU Maritime, IMO CII, UK ETS, and others)
• Regulatory export tools (EU MRV XML, IMO DCS, SEEMP, Sea Cargo Charter)
• Fleet management, vessel tracking, and daily reporting
• Voyage optimisation tools

Important: Compliance outputs are provided as calculation aids only. They do not constitute legal advice or official regulatory submissions. You are responsible for verifying outputs and submitting to relevant authorities.

3. Account Terms

3.1 Registration

• You must provide accurate information when creating an account
• You are responsible for maintaining the security of your password
• You must notify us immediately of any unauthorised access
• One account per person; sharing accounts is not permitted

3.2 Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to reverse-engineer, copy, or reproduce the platform
• Resell or sub-license access without our written consent
• Upload malicious code or attempt to compromise platform security
• Use automated scraping tools against the API without authorisation
• Impersonate other users or organisations

4. Subscription and Payment

4.1 Plans

• Starter: $199/month — up to 3 vessels
• Professional: $499/month — up to 10 vessels
• Enterprise: $999/month — unlimited vessels

Annual plans receive a 20% discount. Prices are in USD and exclusive of applicable taxes.

4.2 Billing

• Subscriptions are billed monthly or annually in advance
• Payment processed via Razorpay (India) or Stripe (international)
• Failed payments result in a 7-day grace period before service suspension
• All fees are non-refundable except as required by law

4.3 Cancellation

You may cancel at any time from your account Settings. Cancellation takes effect at the end of the current billing period. No pro-rated refunds are issued for unused periods.

5. Your Data

You own your data. Vessel data, voyage records, and compliance outputs that you enter into VEMO FuelIQ remain your property at all times.

• We process your data solely to provide the Service
• We do not sell, rent, or share your operational data with third parties
• You can export all your data at any time (Settings → Privacy → Export)
• Upon account deletion, your personal data is removed within 30 days (voyage data retained 7 years for regulatory compliance)

6. Intellectual Property

• The VEMO FuelIQ platform, algorithms, and software are our intellectual property
• You receive a limited, non-exclusive, non-transferable licence to use the Service
• Regulatory formulas and IMO/EU reference data used in calculations are public domain
• Your data and compliance reports are yours — we claim no ownership

7. Regulatory Disclaimer

VEMO FuelIQ provides compliance calculation tools based on our best interpretation of maritime regulations including EU ETS, FuelEU Maritime, IMO CII, UK ETS, IMO DCS, and others.

We do not guarantee:

• That calculations meet every jurisdiction's specific requirements at all times
• That regulatory data (EUA prices, emission factors) is always current
• That exports satisfy the exact format required by your flag state or verifier

Always have your compliance reports reviewed by a qualified marine surveyor or verifier before official submission.

8. Service Availability and SLA

• We target 99.5% uptime (excluding scheduled maintenance)
• Scheduled maintenance is announced 48 hours in advance
• No SLA credits are provided under the current plans
• Enterprise customers may negotiate SLA terms separately

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Our total liability to you shall not exceed the fees paid in the 12 months preceding the claim
• We are not liable for indirect, consequential, or punitive damages
• We are not liable for regulatory fines, penalties, or compliance failures arising from use of our outputs
• We are not liable for data loss caused by third-party service failures (Supabase, Vercel, etc.)

10. Indemnification

You agree to indemnify and hold harmless VEMO FuelIQ from any claims, damages, or expenses arising from your violation of these Terms, your use of the Service, or your violation of any applicable law or regulation.

11. Termination

We may suspend or terminate your account if you:

• Violate these Terms
• Fail to pay subscription fees within the grace period
• Engage in fraudulent or harmful activity

Upon termination, you may request an export of your data within 30 days.

12. Governing Law

These Terms are governed by the laws of Singapore. Disputes shall be resolved by arbitration in Singapore under the SIAC rules, or in the courts of Singapore if arbitration is not applicable.

13. Changes to Terms

We will notify registered users by email at least 30 days before material changes take effect. Continued use after the effective date constitutes acceptance of the updated Terms.
